These Terms and Conditions ("Terms") govern your access to and use of the services provided by CT Business Solutions LLC, d.b.a. CT River Ops ("Company," "we," "us," or "our"), including our website at ctriverops.com, our AI Readiness Survey, and any marketing, automation, or consulting services we deliver.

By engaging our services, signing a service agreement, or using our website, you ("Client" or "you") agree to be bound by these Terms. If you do not agree, please do not use our services.

Legal Notice

These Terms do not constitute legal advice. CT River Ops recommends that clients consult a licensed Connecticut attorney before entering into any service agreement. These Terms are subject to change — please review them periodically.

1. Acceptance of Terms

By accessing our website, submitting a contact form, completing the AI Readiness Survey, booking a consultation, signing a service agreement, or making payment to CT River Ops, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms apply to all visitors, users, and clients. If you are entering into these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our services. Our services are intended for business owners and operators, not consumers acting in a personal capacity.

2. Services Provided

CT River Ops provides AI-powered digital operations, marketing automation, and consulting services to small and mid-sized businesses. Our core service offerings include:

  • Optimization Report — a one-time business audit covering digital presence, workflow gaps, lead response, and a custom action plan.
  • AI Workflow Automation — setup and management of automated systems including missed call follow-up, appointment reminders, and lead response sequences.
  • Marketing Solutions — Google and Facebook profile management, review management, ad campaign setup, SEO blog content, and lead generation.
  • Custom AI Agent — design, development, and deployment of custom AI agents built on Claude (Anthropic) tailored to client workflows and culture.
  • Custom Solutions — e-commerce setup, document automation, data migration, staff training, and custom software integrations.
  • Monthly Service Packages — ongoing recurring services delivered under the Starter ($297/mo), Growth ($495/mo), or Premium ($795/mo) packages.

The specific scope of services delivered to each client will be defined in a written service agreement or statement of work. CT River Ops reserves the right to modify, update, or discontinue any service offering with reasonable notice to existing clients.

3. Client Responsibilities

To enable CT River Ops to deliver services effectively, clients agree to:

  • Provide accurate information — supply complete and truthful information about your business, including access credentials, business details, and operational data as reasonably required.
  • Timely cooperation — respond to requests for approvals, feedback, and information within a reasonable timeframe (typically 3–5 business days).
  • Account access — provide necessary access to your Google Business Profile, social media accounts, CRM systems, and other platforms required to deliver the agreed services.
  • Lawful use — ensure all content, products, services, and business practices you ask us to promote or automate comply with applicable federal, state, and local laws.
  • Timely payment — pay all fees on time as outlined in Section 4.
  • Feedback and approvals — review and approve deliverables within the timeframes specified in your service agreement.
Client Content Responsibility

CT River Ops acts as a service provider, not a publisher. Clients are solely responsible for ensuring that any content, products, or services they ask us to promote or automate comply with all applicable laws, including FTC guidelines, industry regulations, and platform policies (Google, Meta, etc.).

4. Fees & Payment

Setup Fee

All new engagements require a one-time setup fee of $1,250, which covers the initial business assessment, account setup, product integrations, and delivery of a custom optimization roadmap. This fee is due upon engagement and prior to commencement of services.

Monthly Service Fees

Recurring monthly service fees are billed in advance on the same date each month:

  • Starter — Get Found: $297/mo, billed monthly in advance
  • Growth — Get Leads: $495/mo, billed monthly in advance
  • Premium — Get Dominant: $795/mo, billed monthly in advance

Additional Fees

  • Ad spend — Google and Facebook advertising costs are billed directly to the client's ad accounts and are separate from our service fees.
  • Third-party software — costs for third-party tools or subscriptions required for service delivery are the client's responsibility unless explicitly included.
  • Data migration — not included in the setup fee and will be quoted separately.
  • Rush work — requests requiring expedited turnaround outside normal timelines may incur additional fees.

Payment Methods

CT River Ops accepts payment via Stripe, PayPal, Zelle, Venmo, and bank transfer. All fees are in US dollars. Invoices are due upon receipt unless otherwise agreed in writing.

Late Payments

Invoices unpaid after 10 days may incur a late fee of 1.5% per month on the outstanding balance. CT River Ops reserves the right to pause or suspend services for accounts with outstanding balances exceeding 15 days. Service reinstatement may require payment of all outstanding fees plus a reinstatement fee.

5. Refund Policy

Optimization Report

The $1,250 Optimization Report fee is non-refundable once the assessment has commenced. If you choose to subscribe to a monthly service package within 30 days of receiving your Optimization Report, the $1,250 fee will be waived from your first month's invoice.

Monthly Services

Monthly service fees are non-refundable once the billing period has begun. We do not offer prorated refunds for mid-month cancellations. Clients who cancel will continue to receive services through the end of the paid billing period.

Custom Work

Custom AI agent builds, software integrations, data migration, and other project-based work are non-refundable once work has commenced. Deposits paid for custom projects are non-refundable.

Satisfaction Commitment

While we do not offer blanket refunds, we are committed to delivering quality work. If you are dissatisfied with a deliverable, please contact us within 5 business days of delivery and we will work in good faith to address your concerns through revisions or remediation.

6. Intellectual Property

Client-Owned Content

Any content, materials, logos, brand assets, or data provided by the client remains the exclusive property of the client. The client grants CT River Ops a limited, non-exclusive license to use such materials solely for the purpose of delivering the agreed services.

CT River Ops Deliverables

Upon receipt of full payment, clients receive a license to use deliverables produced by CT River Ops for their own business purposes. CT River Ops retains the right to use anonymized deliverables as portfolio samples or case studies unless the client requests otherwise in writing.

AI-Generated Content

Content generated using AI tools (including Claude by Anthropic) on behalf of the client is delivered to the client for their use. CT River Ops makes no warranty regarding the copyright status of AI-generated content. Clients are responsible for reviewing AI-generated content before publication.

Proprietary Materials

Our methodology, processes, templates, training materials, and business systems remain the exclusive intellectual property of CT River Ops. Clients may not reproduce, distribute, or resell CT River Ops proprietary materials without express written consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive business information shared during the engagement. CT River Ops will not disclose client business information, financials, strategies, or operational data to third parties except as required to deliver the agreed services or as required by law.

Clients agree not to disclose CT River Ops proprietary methodologies, pricing structures, or internal processes to third parties without written consent. Confidentiality obligations survive the termination of any service agreement for a period of two (2) years.

8. AI-Powered Services

CT River Ops uses artificial intelligence tools — including Claude (developed by Anthropic PBC) — to deliver certain services. By engaging these services, clients acknowledge:

  • AI limitations — AI-generated outputs may contain errors or unexpected results. We exercise reasonable care but cannot guarantee accuracy, completeness, or fitness for purpose.
  • Human review — clients are responsible for reviewing AI-generated content before use or publication.
  • Third-party AI terms — use of AI services is subject to the terms of underlying AI providers (including Anthropic).
  • Data processing — client data may be processed by third-party AI platforms in accordance with their privacy policies.
  • No guaranteed results — we do not guarantee specific outcomes, lead volumes, revenue, or business performance from AI-powered services.
Responsible AI Use

CT River Ops is committed to responsible and ethical use of AI. We will not use AI tools to generate content that is deceptive, discriminatory, or in violation of applicable laws. Clients may not use our AI services for unlawful, harmful, or deceptive purposes.

9. Limitation of Liability

To the fullest extent permitted by applicable law, CT River Ops, its owners, employees, contractors, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Damages arising from third-party platform changes, outages, or policy updates (Google, Meta, GoHighLevel, Anthropic, etc.)
  • Damages resulting from client failure to review or approve AI-generated content before use
  • Any outcome resulting from inaccurate or incomplete information provided by the client
Liability Cap

In no event shall CT River Ops' total liability to any client exceed the total fees paid by that client to CT River Ops in the three (3) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the form of action or theory of liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless CT River Ops and its officers, members, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of our services in violation of these Terms
  • Any content, products, or services you ask us to promote that violate applicable law or third-party rights
  • Your violation of any applicable law, regulation, or third-party rights
  • Any misrepresentation made by you in connection with our services
  • Your failure to review AI-generated content before use or publication

11. Term & Termination

Monthly Services

Monthly service agreements continue on a month-to-month basis until cancelled. Either party may cancel with 30 days written notice prior to the next billing date. Notice must be provided via email to Hello@ctriverops.com.

Termination for Cause

CT River Ops reserves the right to terminate services immediately and without refund if a client:

  • Fails to pay fees within 15 days of the due date
  • Engages in abusive, threatening, or harassing behavior toward CT River Ops staff
  • Uses our services for unlawful, fraudulent, or deceptive purposes
  • Breaches any material term of these Terms or the service agreement

Effect of Termination

Upon termination: (a) all outstanding fees become immediately due; (b) we will provide the client with copies of any deliverables completed and paid for; (c) both parties' confidentiality obligations survive termination; (d) client access to any CT River Ops managed platforms or tools will be revoked.

12. Dispute Resolution

Good Faith Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good faith negotiation. Either party may initiate this process by sending written notice of the dispute to the other party.

Mediation

If good faith negotiation does not resolve the dispute within 30 days, either party may request non-binding mediation administered by a mutually agreed mediator in the State of Connecticut. The costs of mediation shall be shared equally unless otherwise agreed.

Arbitration

If mediation is unsuccessful, any remaining disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in Connecticut. The arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class action, consolidated action, or representative proceeding.

13. Governing Law

These Terms and any disputes arising out of or related to them or CT River Ops services shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions.

Any legal proceedings not subject to arbitration under Section 12 shall be brought exclusively in the state or federal courts located in Connecticut, and you consent to the personal jurisdiction of such courts.

14. Modifications to These Terms

CT River Ops reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Post the revised Terms on our website
  • Notify active clients by email at least 14 days before changes take effect

Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your service before the effective date of the changes.
